Terms of Service

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and Kame House Studios LLC (“CitedPlan”, “we”, “us”), the operator of the CitedPlan service. By creating an account or using CitedPlan, you agree to these Terms and to our Privacy Policy. If you are using CitedPlan on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to it.

2. The service

CitedPlan turns documents you provide — specs, PRDs, meeting notes, and similar material — into a structured project board of epics, stories, subtasks, and dependencies, and offers an AI chat assistant that can explain and, with your confirmation, edit that board. Extraction and chat are powered by third-party AI models.

3. Your account

You sign in with an email address and password or a Google account. You are responsible for safeguarding your credentials and for all activity under your account. Provide accurate account information and keep it current. You must be at least 13 years old to use CitedPlan.

4. Your content

You retain all rights to the documents you upload or paste, the boards generated from them, and your chat messages (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to provide the service — including transmitting it to the AI providers listed in our Privacy Policy to perform extraction, embedding, and chat.

You are responsible for having the rights to the content you submit. Do not upload material you are not permitted to share.

5. AI-generated output

Boards, task details, citations, and chat responses are generated by AI and may be inaccurate, incomplete, or misleading. They are provided as a planning aid, not professional advice. Review AI output before relying on it. As between you and us, you own the output generated from your Customer Content.

6. Acceptable use

• Do not use the service for unlawful purposes or to infringe others’ rights.
• Do not upload malicious code or attempt to breach, probe, or overload the service.
• Do not attempt to circumvent plan limits, quotas, or access controls.
• Do not resell or provide the service to third parties as your own offering.
• Do not reverse engineer the service except where the law permits it despite this restriction.

We may suspend or terminate accounts that violate these rules.

7. Plans, billing, and cancellation

The Free plan includes monthly usage limits (document extractions, AI chat actions, and upload size). The Pro plan raises those limits and is billed through Stripe at the prices shown on our pricing page, monthly or yearly. Subscriptions renew automatically until canceled.

You can cancel any time through the billing portal; cancellation takes effect at the end of the current billing period, and you keep Pro access until then. Except where required by law, payments are non-refundable and we do not prorate partial periods. If a renewal payment fails, your workspace reverts to Free limits. We may change prices or plan limits with reasonable advance notice; changes apply from your next billing period.

8. Termination

You may stop using CitedPlan and request deletion of your account at any time by contacting us. We may suspend or terminate your access for material violation of these Terms, to comply with law, or if we discontinue the service (with reasonable notice where practicable). Sections 4, 5, and 9–12 survive termination.

9. Disclaimers

The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the service is limited to the greater of the amounts you paid us in the twelve months before the claim or one hundred US dollars ($100).

11. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give notice (for example by email or an in-app notice) before it takes effect. Continuing to use the service after a change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the state in which Kame House Studios LLC is organized, without regard to its conflict-of-laws rules, and disputes will be resolved in the courts located there.
